- Analytics and Reporting
The specific scope of work, fees, and deliverables will be defined in a separate written agreement or Statement of Work (SOW) executed between the Agency and the Client. These Terms apply to your use of the Website and supplement, but do not replace, any formal Service Agreement.
3. Client Obligations and Conduct
3.1. Accuracy of Information: You agree to provide accurate, current, and complete information when booking a strategy call, inquiring about services, or entering into an SOW. 3.2. Lawful Use: You agree to use the Website and our services only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of this Website by any third party. 3.3. Content Submission: Any content (text, images, video) you provide to the Agency for use in marketing campaigns must be owned by you, licensed to you, or otherwise free of third-party rights claims. You indemnify the Agency against any claims arising from the content you provide. 3.4. Fees and Ad Spend: All service fees and any third-party advertising spend ("Ad Spend") are the Client’s responsibility. The Agency is not responsible for paying the Ad Spend directly to platforms (e.g., Google, Facebook, TikTok) unless explicitly agreed upon in the SOW.
4. Payment, Fees, and Termination
4.1. Service Fees: Fees for the Agency's services (e.g., Visibility, Growth, Domination Blueprints) are non-refundable unless otherwise stated in the SOW. 4.2. Ad Spend: The Client is responsible for maintaining an active, properly funded account with all advertising platforms necessary for the execution of the services. 4.3. Termination: We may terminate or suspend your access to the Website and services immediately, without prior notice or liability, if you breach these Terms. 5. Intellectual Property Rights
5.1. Agency IP: The Website, its original content, features, and functionality (excluding Client Content), including Agency methodologies, proprietary reporting tools, and internal process documents, are and will remain the exclusive property of [COMPANY NAME]. 5.2. Client IP & Deliverables: The Client retains ownership of all pre-existing content and data. Upon final and full payment of all fees due under an SOW, the Client will own the resulting deliverables (e.g., marketing creatives, finalized landing page copy) as defined in the SOW. 5.3. Agency Use of Client Content: The Client grants the Agency a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display the Client’s content, trademarks, and logos solely for the purpose of performing the contracted services.
6. Disclaimer of Warranties and Limitation of Liability
6.1. Service Disclaimer: The Agency provides its services on an "as-is" and "as available" basis. We make no warranty that the services will meet your requirements or that the campaigns will achieve specific revenue or performance goals. Digital marketing involves risk, and the Agency expressly disclaims any guarantee of specific results or return on investment (ROI). 6.2. Limitation of Liability: In no event shall the Agency, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Website or services; (ii) any conduct or content of any third party on the Website; (iii) any content obtained from the Website; and (iv) unauthorized access, use, or alteration of your transmissions or content. 6.3. Maximum Liability: The Agency's total aggregate liability to the Client for any and all claims arising out of or related to these Terms or the services shall not exceed the total fees paid by the Client to the Agency under the relevant SOW in the six (6) months preceding the event giving rise to the claim.
7. Indemnification
You agree to defend, indemnify, and hold harmless the Agency and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Website or services; (b) a breach of these Terms; or (c) any claim that the content you provided infringes upon or violates the rights of a third party.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of WY, USA, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in 1309 Coffeen Ave, Ste 18655, Sheridan, WY 82801, USA to resolve any legal matter arising from these Terms.
